Agreement to terms

By accessing or using the Nookly platform and website ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using Nookly on behalf of an organisation, you confirm you have authority to bind that organisation to these Terms.

These Terms constitute a legally binding agreement between you and Nookly Ltd, a Private Limited Company registered in England and Wales.

Description of service

Nookly provides a cloud-based Software as a Service (SaaS) platform for health and social care providers, including:

• AI-assisted care documentation and note structuring
• Automated shift handover generation
• Risk detection and alert systems
• Medication management and tracking
• Staff rota and workforce management
• Compliance and audit reporting tools
• Family portal for approved care updates

Subscriptions and payment

Subscription plans

Nookly is available on monthly or annual subscription plans. Pricing is based on the number of residents or service users and is as published on our website at the time of subscription.

Free trial

We offer a 30-day free trial with no credit card required. At the end of the trial, you may choose to subscribe or your access will end.

Payment

• Invoices are issued monthly or annually depending on your chosen plan
• Payment is due within 14 days of invoice
• A one-off setup fee of £250 applies to all plans
• Prices are subject to change with 30 days' written notice

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We do not offer refunds for partial periods unless required by law.

Your responsibilities

You agree to:

• Provide accurate information when creating your account
• Keep your login credentials secure and confidential
• Ensure all staff using Nookly are appropriately trained
• Comply with all applicable laws including UK GDPR and health and social care legislation
• Obtain appropriate consent before entering personal data about residents or service users
• Review and approve all AI-generated content before it becomes part of official records
• Not use Nookly for any unlawful purpose
• Not attempt to reverse engineer, copy, or redistribute the platform

Data and privacy

You retain ownership of all care data and personal information you enter into Nookly. By using our Service, you grant Nookly a limited licence to process this data solely for the purpose of providing and improving our Service.

We act as a data processor on your behalf for care records. You are the data controller and are responsible for ensuring you have appropriate legal bases to process residents' personal data.

Availability and support

We aim to provide a reliable, high-availability service. However, we do not guarantee uninterrupted access. We will notify you of planned maintenance in advance where possible.

Limitation of liability

To the fullest extent permitted by law:

• Nookly is provided "as is" without warranties of any kind
• We are not liable for any indirect, incidental, or consequential damages arising from your use of the Service
• Our total liability to you in any 12-month period shall not exceed the total fees you paid to us in that period
• Nothing in these Terms limits our liability for death, personal injury caused by negligence, or fraud

Intellectual property

The Nookly platform, including all software, AI models, designs, documentation, and branding, is owned by Nookly Ltd and protected by intellectual property laws.

You may not copy, reproduce, distribute, or create derivative works based on Nookly's intellectual property without our prior written consent.

Governing law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
